Request for Proposals for Lease of Real Property
The Franklin-McKinley School District invites qualified individuals, organizations, and businesses to submit proposals for the lease of District-owned real property. Through this Request for Proposals (RFP) process, the District seeks responsible tenants who will utilize the property in a manner that supports the District’s mission, complies with applicable laws and regulations, and serves the best interests of students and the community.
1. Background
The Franklin-McKinley School District is located in the County of Santa Clara, California, and serves approximately 5,600 students throughout the City of San Jose. The District’s mission is to ensure all 8th grade student graduates have the skills and knowledge to be ready for a college preparatory curriculum in high school. The intent is for all students to have access to programs that prepare them for university, careers, and lifelong learning.
Providing this level of quality education while experiencing an overall decline in student enrollment and reduced funding has been challenging for the District. As a result, the District is strategically reallocating resources, including leasing/subleasing the 3 campuses that were closed in June 2025 and deemed surplus property based on the recommendation of the 7-11 Committee by the Board of Trustees in October 2025. Leasing those campuses allows the District to add key revenue to educational programs at the school site in the event of enrollment and funding increases in the future.
2. General Information
The District is seeking, by way of this Request For Proposals (RFP), Proposals from Respondents who are interested in entering into a lease for all or some portion of the Property. Therefore, while the District may prefer Proposals that include leasing the entire Property, the District is willing to entertain Proposals for the leasing of less than the entire Property.
Responses to this RFP must be submitted to the District, in accordance with the process set forth below, on or before 1:00 p.m. (PST) on 3rd April 2026. The District is seeking a tenant, preferably in educational services, which may include children’s or youth services, primary/elementary/secondary education, or public foundations. The site is available for profit or non-profit tenants.
The District will review all submitted proposals pursuant to the Proposal Process discussed below. If the District can reach an agreement with any of the Respondents, the specific terms and legal considerations of the lease agreement will be documented in a formal Third Party agreement to be entered into by the District and the successful Respondent.

4. General Qualifications
All Respondents seeking to enter into a lease agreement for the Property must provide the following basic information:
a. Name and contact information of the person/private business firm.
b. An outline of the proposed use of the site and buildings.
c. The lease rate and space required, along with the proposed term and periodic increases in rent during the lease term.
d. A statement of financial qualification that includes the following information:
i. Is the Respondent a subsidiary of, or affiliated with, any other corporation, corporations, partnerships or firms? If so, please specify. If the Respondent is a subsidiary, please indicate the extent to which the parent entity will guarantee performance by the subsidiary.
ii. A current Profit & Loss and Balance Sheet.
iii. Names and addresses of three financial references, including a primary bank letter stating the proposing entity has the financial resources to pay the proposed rent.
iv. Has the Respondent or its officers, principal members, shareholders or investors, or any of its parent, subsidiary or affiliated entities or other interested parties been adjudged bankrupt, either voluntary or involuntarily, within the past ten years? If so, explain.
v. Is there pending litigation against the Respondent entity or its officers, principal members, shareholders or investors, or any parent, subsidiary or affiliated entities or other interested parties other than minor personal injury suits involving claims under $250,000? If so, explain.
vi. Any other financial statements and/or other documents that would indicate acceptable financial standing and the ability of Respondent to fund the proposed acquisition of the Property.
Item(s) submitted should be sufficient to permit the District to determine the Respondent’s financial capacity to fund the proposed acquisition of the District Property. The Respondent may wish to mark his/her financial statements, as “CONFIDENTIAL” or “PROPRIETARY.” As such, it will be treated as confidential by the District to the extent permitted by law, as discussed below.
5. Proposal Submission Guidelines
The District will accept Proposals on or before the deadline set for 3rd April 2026 at 1:00 p.m. (PST). Please find the submission guidelines as follows:
a. Proposals shall be mailed or delivered as follows: Three (3) bound copies and one (1) electronic submission in a PDF format to Franklin-McKinley School District, c/o Terra Realty Advisors, Inc., Attn: Scott Sheldon, 450 Chadbourne Road, Fairfield, CA 94534; ssheldon@tra-inc.net.
b. Costs incurred by the Respondent in preparation of the response to the RFP are the sole responsibility of the Respondent.
c. The District may choose to interview one or more of the Respondents at the District’s sole discretion. The District may also select solely on the basis of the written Proposal.
d. All Proposals should be verified before submission. Adjustments may not be permitted after submission to the District. The District will not be held responsible for any errors or omissions on the part of the Respondent in the preparation of their Proposal.
e. The District reserves the right to reject any and/or all Proposals, or to refuse to negotiate or withhold the award of any contract, for any reason. The District may also waive or decline to waive irregularities in any Proposal.
f. The District may begin negotiations with selected Respondents at the District’s discretion. If negotiations are successful, the District’s Governing Board may invite one or more Respondents to present its/their Proposal(s) to the Governing Board.
g. Upon selection of a Respondent, the District shall provide an option agreement and ground lease for negotiation by the Parties, which will set forth the terms of the transaction. The District reserves the right to terminate this process at any point prior to the selection of the successful Respondent, and solicitation of Proposals in no way obliges the District to proceed with any particular transaction.
h. If Respondent is represented by a Broker, Respondent will be responsible for the payment of its own Broker's commission.

7. Contact Information
Any questions regarding the Property or the RFP process MUST BE IN WRITING AND EMAILED to Michelle Hightower at Terra Realty Advisors, Inc., mhightower@tra-inc.net, on or before 1:00 p.m. (PST), on 20th March, 2026. The District will post responses to all questions received on this page on or about 5:00 pm (PST) on 27th March, 2026. Respondents must incorporate the information provided by the District in response to the questions into their Proposals. The District shall not provide responses to any oral questions, and any oral statement made by any person shall not be construed as part of the District’s RFP package.
